(I) TOPBI International Holdings Limited (hereinafter called “the company”, “the group” or “TOPBI International company” established on October 3, 2012, in the British Cayman Islands, and completed the restructuring of the group in the fourth quarter. Our important investments are Topbi Children Apparel Co., Limited (淘帝兒童服飾有限公司)、Fujian Spring Investment Corp., Limited (福州茂盛投資有限公司) 、Topbi (China) Fashion Corporation Limited (淘帝（中國）服飾有限公司) and Fujian Topbi Network Technology Co., Ltd (福建淘帝網絡科技有限公司) . Topbi (China) Fashion Corporation Limited is the main operating entity of the group, Fujian TOPBI Network Technology Co., Ltd. is mainly engaged in live broadcasting business. Fuzhou Spring Investment Corp., Limited is mainly engaged in investment real estate leasing activities, while the remaining are investment holding companies.
(II) The group is mainly engaged in the design of children’s clothing from 1 to 16 years old and its sales target is the agents in China. The company has set up sales point in 13 provinces and 2 municipalities under the central government in China through 14 agents and targeted to China In addition to maintaining long-term and stable cooperative relationships with agents, the company also controls the latest development direction and fashion trends of the market at any time, and designs products that both fashion concepts and meet the needs of the consumer public. The management team of the company has rich experience in the children’s clothing industry. Since its establishment, with the help of the high-quality management team, the company has been recognized as one of the top ten children’s clothing brands in China by the China clothing association, which helps the company in business development and has a considerable competitive advantage and market position in the industry.
